Abstract:

“Penyusunan jurnal ini bertujuan untuk mengkaji akibat hukum yang ditimbulkan dari akta perjanjian nominee pada kepemilikan saham Perseroan Terbatas serta mengidentifikasi tanggung jawab Notaris dalam pembuatan akta perjanjian nominee saham ditinjau berdasarkan peraturan perundang-undangan maupun Kode Etik Notaris. Metode penelitian yang digunakan ialah penelitian hukum normatif karena adanya kekosongan norma dalam suatu undang-undang yang justru menimbulkan praktik nominee saham. Penelitian ini menggunakan jenis pendekatan perundang-undangan dan pendekatan analitis. Teknik pengumpulan bahan hukum melalui studi dokumen, kemudian bahan hukum yang terkumpul dianalisis menggunakan teknik deskriptif dilengkapi dengan pendekatan kualitatif. Hasil yang diperoleh dari penelitian memperlihatkan bahwa akta perjanjian nominee saham yang dibuat Notaris batal demi hukum lantaran substansi akta melanggar Pasal 33 ayat (1) Undang-Undang Nomor 25 Tahun 2007 tentang Penanaman Modal yang akibat hukumnya terdapat pada ayat (2) bahwa perjanjiannya dinyatakan batal demi hukum, serta tidak memenuhi salah satu syarat objektif sahnya perjanjian berdasarkan Pasal 1320 KUH Perdata. Kepemilikan saham menggunakan akta perjanjian nominee tidak memberikan akibat hukum terhadap Perseroan Terbatas yang bersangkutan sepanjang sesuai prosedur, memenuhi syarat-syarat pendirian dan menjalankan kegiatan penanaman modal, sedangkan penggunaannya dapat menimbulkan akibat hukum yang merugikan terhadap pihak beneficiary, nominee maupun Notaris. Notaris yang memberikan jasanya untuk membuat akta perjanjian nominee saham telah melanggar Undang-Undang Jabatan Notaris dan Kode Etik Notaris. Notaris dapat dimintakan pertanggungjawaban secara perdata, pidana, administratif, Kode Etik maupun menanggung akibat hukum dari akta jika perbuatannya memenuhi unsur-unsur untuk dapat dimintakan pertanggungjawaban. ABSTRACT The purpose of this journal is to study the legal consequences of the nominee agreement deed on share ownership of Limited Liability Companies and to identify the Notary’s responsibilities in making the share nominee agreement deed reviewed based on statutory regulations and the Notary’s Code of Ethics. The research method used is normative legal research because of the absence of norms in a law that actually causes the practice of nominee shares. This research uses a statutory approach and an analytical approach. The technique of collecting legal materials is through document studies, then the collected legal materials are analyzed using descriptive techniques equipped with a qualitative approach. The results obtained from the research show that the share nominee agreement deed made by the Notary is null and void because the substance of the deed violates Article 33 paragraph (1) of Law Number 25 of 2007 concerning Investment, which has legal consequences in paragraph (2) that the agreement is declared null and void, and does not fulfill one of the objective requirements for the validity of the agreement based on Article 1320 of the Civil Code. Ownership of shares using a nominee agreement deed does not give legal consequences to the Limited Liability Company concerned as long as it follows the procedure, meets the requirements for estabilshment and carries out investment activities, while its use may cause adverse legal consequnces to the beneficiary, nominee and notary public. The notary who gave his services to draft the share nominee agreement deed has violated the Law on Notary Position and the Notary Code of Ethics. Notaries can be held accountable for civil, criminal, administrative, Code of Ethics or bear the legal consequences of deeds if their actions meet the elements to be held accountable.
