Abstract:

“ABSTRAK Tujuan penelitian ini ditujukan untuk mengkaji pengatuaran hukum terakit dengan keterbukaan informasi publik yang dilakukan oleh Perseroan Terbatas Milik Swasta berdasarkan ketentuan peraturan perundang-undangan. Penelitan ini bertujuan untuk membrikan pemahan terkait pentingnya serta wajibnya Perseroan Terbatas melakukan keterbukaan informasi public untuk mewujudkan konsep good governance. Artikel ini menggunakan Jenis penelitian hukum normatif yang membedah permasalahaan norma berupa kekosongan norma serta pendekatan peraturan perundang-undangan. Hasil penelitian dalam tulisan ini menjelaskan bahwa Perseroan Terbatas Milik Swasta tidak wajib memberikan dan melaksanakan keterbukaan informasi publik sesuai dengan Undang- Undang Nomor 14 Tahun 2008. Keterbukaan informasi publik hanya diwajibkan kepada badan publik termasuk Perseroan Terbatas milik negara karena sumber dananya berasal dari negara. Pengaturan keterbukaan Informasi publik untuk Perseroan Terbata milik swasta diatur pada Undang-Undang Nomor 8 Tahun 1995 tentang Pasar Modal serta pada Undang-Undang Nomor 40 Tahun 2007 mengenai Perseroan Terbatas dan norma yang terdapat dialam aturan tersebut hanya sebatas pembahasan keadaan perusahaan. Kata Kunci: Keterbukaan Informasi Publik, Perseroan Terbatas, Swasta. ABSTRACT The purpose of this study is to examine the legal arrangements related to public information disclosure carried out by Private Limited Liability Companies based on the provisions of the legislation. This research aims to provide an understanding of the importance and obligation of Limited Liability Companies to disclose public information to realize the concept of good governance. The type of research in this paper is normative legal research that dissects the problem of norms in the form of a norm vacuum and is carried out with a statutory approach. The results of the research in this paper explain that Private Limited Liability Companies are not required to provide and implement public information disclosure in accordance with Law Number 14 of 2008. Public information disclosure is only required to public bodies including state-owned Limited Liability Companies because the source of funds comes from the state. The regulation of public information disclosure for private limited liability companies is regulated in Law Number 8 of 1995 concerning Capital Markets and Law Number 40 of 2007 concerning Limited Liability Companies and the norms contained in these regulations are only limited to discussing the state of the company.
