Abstract:

“Tujuan dari penelitian ini adalah agar dapat mengetahui tanggung jawab apa yang dapat dilakukan oleh pengelola perusahaan terakit perusahaannya yang belum berbadan hukum, serta bagaimana perlindungan hukum yang didapatkan atas kerugian yang timbul akibat perusahaan yang belum berbadan hukum. Metode yang digunakan dalam karya penulisan ilmiah ini adalah metode penelitian hukum normatif dengan cara mengulas secara tuntas semua undang-undang serta seluruh regulasi yang ada sangkut pautnya mengenai hukum yang ditangani.Didalam dunia usaha seringkali kita temukan penyimpangan - penyimpangan yang dilakukan oleh para pengelola atau pemilik usaha perseroan–terbatas yang tidak mengikuti aturan perundang undangan yang mengenai aturan tata cara proses pendirian sebuah usaha persero dimana pemilik usaha tersebut telah melakukan aktivitas layaknya perseroan terbatas pada umumnya. Namun mereka pun belum memiliki izin ataupun bisa disebut belum memiliki badan hukum yang berfungsi untuk membantu dalam pengelolaan usaha perseroan mereka tersebut. Hal – hal yang di kesampingkan oleh para pemilik usaha, dapat menimbulkan banyak masalah – masalah dalam usaha mereka, bahkan hal – hal tersebut juga dapat menghambat kinerja perusahaan persero terbatas mereka. The purpose of this research is to find out what responsibilities can be carried out by the managers of companies that are not yet incorporated, and how legal protection is obtained for losses arising from companies that are not yet incorporated. The method used in this scientific writing work is the normative legal research method by thoroughly reviewing all laws and all regulations that are related to the law being handled. In the business world we often find irregularities committed by managers or owners. a limited liability company that does not follow the statutory rules regarding the procedures for the establishment of a limited liability company in which the business owner has carried out activities like a limited liability company in general. However, they also do not have a permit or can be said that they do not have a legal entity that functions to assist in managing their company’s business. Things that are left aside by business owners, can cause many problems in their business, even these things can also hinder the performance of their limited liability company”
